Partner Program Terms and Conditions

Participation in the Program allows you, subject to the terms of this Agreement, to receive a commission when users are referred to ClickTime by you and purchase any pay services that exist on the ClickTime website.

By signing up for the ClickTime Partner Program you agree to these terms and conditions:

• You have read our general copyright notice, privacy policy, and terms of service and you agree to them.
• You use our services at your own risk. Our services are provided on an ‘as is’ and ‘as available’ basis. We are not liable for damages, direct or consequential, resulting from any failure to provide service, suspension of service, or termination of service. We do not guarantee the availability of the ClickTime Reseller program. You agree not to hold us responsible for data loss or interruption of service of any kind. ClickTime retains ownership and all rights to the ClickTime logos, trademarks, software, trade secrets, databases, reports, and Web site.
• ClickTime reserves the right to cancel your enrollment for any violation of the terms of this agreement at any time.
• You may only signup for one Reseller account for yourself or your organization.

You may refer users to ClickTime in any way you wish, within the following criteria:

• Referrals cannot be via unsolicited commercial e-mail (“spam”)
• Referring websites may not contain adult material, or engage in or promote illegal activity, violence or racism.
• ClickTime may reject, at its sole discretion, any referral sources it considers inappropriate, objectionable, or competitive.
• ClickTime reserves the right to reject any orders that ClickTime deems inappropriate, due to suspected fraud, geographical region, or any other reason.
• At this time, ClickTime Solutions Partners must have as their primary place of business in the United States, the United Kingdom, Canada, Australia, South Africa, or the European Union.

This Agreement does not create any exclusive arrangement between you and ClickTime.

Commissions (also known as “Referral Fees”) are paid in the amounts explained in the Solutions Partner Program Description.

ClickTime retains the right to reject any customer order.

The commission rates may be changed by ClickTime at any time upon 30 days notice to you. Commissions will be paid on a quarterly basis, provided that your accrued balance is at least $50.00 (U.S.). Amounts less than $50.00 (U.S.) will be carried forward and added to the next quarter’s total. Checks will be processed and mailed within 90 days from the end of the quarter in which your accrued commissions reach the minimum. Since customers referred by you must be current with their payments, this 90-day period is required for all milestone invoices to be paid and recorded by ClickTime.

ClickTime reserves the right not to pay Referral Partners which, in ClickTime’s sole discretion, violate any of the terms and conditions of this Agreement.

From time to time, ClickTime may offer promotional discounts or premiums to retail customers and may specify that these promotions are only valid for customers not specifying a Referral Partner. This eligibility will be indicated in the Terms and Conditions which apply to that promotion.

You shall not attempt to sell ClickTime services to a current customer of ClickTime. In the event that you solicit a current customer of ClickTime, ClickTime shall have no obligation to pay a commission to you for such customer.
